Terms of Service

1. Acceptance of Terms

By accessing or using Zage Books ("the Service"), operated by Zage Books ("we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including administrators, team members, and any person accessing the Service on behalf of a firm or organization.

2. Description of Service

Zage Books provides a cloud-based financial statements generation tool ("OneClick Builder") designed for Indian accounting professionals. The Service allows users to import trial balance data, auto-map ledgers to Schedule III line items, and generate financial statements, schedules, and compliance documents.

The Service is provided "as is" and is intended to assist professionals in preparing financial statements. It is not a substitute for professional accounting judgment. Users are responsible for reviewing and validating all outputs before use.

3. Account Registration

• You must provide accurate, current, and complete information during registration.
• You must verify your email address before accessing the Service.
• You are responsible for maintaining the confidentiality of your password and account credentials.
• You are responsible for all activities that occur under your account.
• Each account is associated with one firm. You may not create multiple accounts for the same firm.
• You must be at least 18 years of age to create an account.

4. Subscription Plans and Billing

4.1 Free Trial

New accounts receive a free trial period as described on the pricing page. During the trial, you may access features as specified in the trial plan with a limited number of companies.

4.2 Paid Plans

After the trial, continued access requires a paid subscription. Plan details, pricing, and company limits are listed on our pricing page. All prices are in Indian Rupees (INR) and are exclusive of applicable taxes (GST) unless otherwise stated.

4.3 Payments

Payments are processed through Razorpay. By making a payment, you also agree to Razorpay's terms of service. All payments are non-refundable unless otherwise stated or required by applicable law.

4.4 Plan Changes

We reserve the right to modify pricing and plan features with reasonable notice. Changes will not affect active subscription periods already paid for.

5. Your Data

5.1 Ownership

You retain full ownership of all financial data, trial balance data, and documents you upload or generate through the Service. We do not claim any ownership rights over your data.

5.2 License to Us

By uploading data to the Service, you grant us a limited, non-exclusive license to process, store, and display your data solely for the purpose of providing the Service to you. This license terminates when you delete your data or account.

5.3 Data Security

We implement reasonable security measures to protect your data as described in our Privacy Policy. However, no system is completely secure, and we cannot guarantee the absolute security of your data.

5.4 Data Backup

While we maintain backups for disaster recovery, you are encouraged to maintain your own copies of important data. We are not responsible for data loss resulting from your actions or circumstances beyond our control.

6. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload malicious code, viruses, or harmful content
• Use automated tools to scrape, crawl, or harvest data from the Service
• Resell, sublicense, or redistribute the Service without our written consent
• Impersonate another person or entity
• Interfere with or disrupt the Service or its infrastructure

7. Intellectual Property

The Service, including its design, code, algorithms (such as the GL auto-mapping engine), branding, logos, and documentation, is owned by Zage Books and protected by intellectual property laws. Your use of the Service does not grant you any ownership rights in the Service itself.

The "Zage Books", "OneClick Builder" names, and the Zage Books logo are trademarks of Zage Books. You may not use these marks without our prior written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) the auto-mapping or financial calculations will be 100% accurate in all cases; (c) the Service will meet your specific requirements. It is your responsibility as a professional to review and validate all generated financial statements before use, submission, or filing.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAGE BOOKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases, and we may delete your data after a 30-day grace period.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Kerala, India.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
